1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ActiPatch® Bioelectric Pain Management Platform, the painkiller.care website and subdomains, the ActiPatch™ mobile and web applications, and the products and subscriptions offered by Electrome Corporation ("Electrome," "we," "us"). By creating an account, purchasing a product, or otherwise using the Services, you agree to these Terms.

2. The Services

The Services include:

  • FDA-cleared Pulsed Shortwave Therapy (PSWT) devices: ActiPatch® — over-the-counter (OTC) for musculoskeletal pain — and RecoveryRx® (prescription only) for postoperative pain and the reduction of postoperative edema in superficial soft tissue, wearable PSWT products.
  • ActiPatch® Patient portal (self-service tier): AI Concierge wellness assistant, pain tracking, and member pricing on ActiPatch®.
  • Provider workflow: provider-facing workflow, RecoveryRx® prescribing, scheduling, and outcomes reporting for licensed clinicians and their staff.
  • Patient Portal (clinical tier): provider-directed use of RecoveryRx®, the prescription-only device for post-operative patients. Requires HIPAA authorization.
  • Multi-portal access: Patient (self-service and clinical tiers), provider, retailer, affiliate, and investor portals.

3. Medical Disclaimer

The Services are not a substitute for professional medical advice, diagnosis, or treatment. ActiPatch® is FDA-cleared for over-the-counter (OTC) use for relief of musculoskeletal pain consistent with its labeling. RecoveryRx® is FDA-cleared for prescription use and may be obtained only through a licensed prescriber. Always read and follow product labeling. Always seek the advice of a qualified health provider for any medical condition. Never disregard professional medical advice or delay seeking it because of information from the Services.

4. Eligibility

  • You must be at least 18 years old to create an account.
  • To use the provider workflow, you must be a licensed healthcare professional in good standing in the state(s) where you practice, or a member of such professional's authorized staff.
  • RecoveryRx® may be obtained only with a valid prescription from a licensed prescriber.

5. Account Registration

  • Provide accurate, current, and complete information.
  • Keep your credentials confidential and notify us immediately of any unauthorized access.
  • You are responsible for all activity under your account.

6. Purchases, Subscriptions & Billing

One-time purchases (ActiPatch®, RecoveryRx®, accessories): sold through painkiller.care and authorized retailers. Returns are governed by our return policy posted at checkout.

Provider orders: RecoveryRx® device orders are subject to any signed Business Associate Agreement and any executed Order Form, which supplement these Terms; in case of conflict, the Order Form and BAA control.

All fees are in U.S. dollars and exclude applicable taxes. Payments are processed by our payment processors (Stripe, Shopify). Failed payments may result in suspension after a grace period.

7. Device Use, Safety & Warranty

  • Use ActiPatch® and RecoveryRx® only as directed in their FDA-cleared labeling and IFU (Instructions for Use).
  • Observe all contraindications, including (without limitation) implanted electronic devices such as pacemakers/ICDs, pregnancy (for the affected area), and any condition specified in the labeling.
  • Do not modify, disassemble, or attempt to recharge non-rechargeable units.
  • Report any adverse event to bioelectrictherapy@electrome.com and to FDA MedWatch where appropriate.
  • Devices carry the limited warranty included in the product packaging; that warranty is the sole product warranty and supersedes any oral statements.

8. Prescription Services (RecoveryRx®)

  • RecoveryRx® dispensing is performed by licensed pharmacies or authorized fulfillment partners.
  • The independent prescriber is solely responsible for clinical decisions, including suitability, dosing duration, and follow-up.
  • Electrome does not practice medicine and does not interfere with the clinician-patient relationship.

9. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, harmful, or fraudulent purpose
  • Resell, redistribute, or sublicense the Services without written authorization
  • Reverse-engineer, scrape, or interfere with the platform or its security
  • Upload malicious code or content that infringes third-party rights
  • Misrepresent your identity, licensure, or prescription status

10. Intellectual Property

"ActiPatch," the ActiPatch™ logo, "Electrome," "ActiPatch®," "RecoveryRx®," and related marks are trademarks of Electrome Corporation or its licensors. All software, content, and design are protected by copyright, trademark, and trade-secret laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.

11. AI-Assisted Features

The ActiPatch® AI Concierge and any AI-assisted features provide informational support only and are not medical advice. AI outputs may be incomplete or inaccurate; always verify with a qualified clinician before acting on them.

12. Disclaimer of Warranties

Except for the limited product warranty for devices and any written warranties in a signed clinical Order Form, the Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Electrome and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services. Our aggregate liability for any claim arising from the Services shall not exceed the greater of (a) the amount you paid Electrome in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow these limitations; in those jurisdictions liability is limited to the maximum extent permitted.

14. Indemnification

You agree to indemnify and hold harmless Electrome from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party right.

15. Termination

We may suspend or terminate your access to the Services at any time for any violation of these Terms or for any conduct that we determine, in our sole discretion, to be harmful to other users, our partners, or our business. You may terminate your account at any time by contacting bioelectrictherapy@electrome.com.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

17. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance.
